1. Introduction

Welcome to TopSchool.ai, operated by TopSchool.ai Pte. Ltd., headquartered at 65 Devonshire Rd, Singapore 239900 (“TopSchool,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, web apps, browser extensions, and related services (collectively, the “Services”). By using our Services, you agree to these Terms and our Privacy Policy.

2. Accounts & Eligibility

2.1 Account creation. To use certain features, you must create an account with accurate, current information and keep your credentials secure. You are responsible for all activity under your account.

2.2 Age & authority. You must be 18+ to create an account. If you access the Services on behalf of a school or institution, you confirm you have authority to bind that organization to these Terms.

2.3 Student accounts. Student accounts are created and managed by institutions or by parents/guardians where applicable. Age and consent rules are handled per local law (see Section 9 and the Privacy Policy).

3. Plans, Access & Fair Use

We may offer free and paid plans. We can change plan features and fair-use thresholds to protect system stability. We may suspend or restrict access where fair-use abuse, misuse, or security risk is detected.

4. Acceptable Use

You agree not to: (a) reverse engineer or bypass security; (b) upload malicious code; (c) use the Services to violate law or third-party rights; (d) attempt unauthorized access; (e) share credentials; or (f) use the Services to generate harmful, discriminatory, or infringing content.

5. AI Output, Risks & Best Practices

AI-generated content may contain inaccuracies or bias. Always review, verify, and exercise professional judgment before using or distributing any output. You remain responsible for how you use AI outputs within your educational context. 

6. Content, IP & Licenses

6.1 Your content. You retain ownership of content you submit. You grant TopSchool a worldwide, non-exclusive, royalty-free license to host, process, display, and use your content solely to provide and improve the Services (including safety, quality, and reliability).

6.2 Service IP. We and our licensors own all rights in the Services, including software, models, and brand assets. Except for the rights expressly granted, no rights are transferred to you.

6.3 Feedback. If you send ideas or suggestions, you grant us a perpetual, irrevocable, worldwide license to use them without restriction or payment.

7. Institution & Enterprise Use

Where a school, district, or institution provisions accounts, that institution is responsible for: (a) providing notices/consents required by law; (b) managing authorized users; (c) defining retention and deletion policies consistent with applicable regulations; and (d) ensuring appropriate classroom use. If a Data Processing Addendum (DPA) is in place, the DPA prevails over these Terms in case of conflict for processing activities.

8. Privacy & Student Data

Our handling of personal and student data is described in our Privacy Policy. We comply with applicable laws (e.g., COPPA and GDPR) and apply heightened safeguards to student data. Institutions (or parents/guardians, where applicable) remain responsible for obtaining any required consents and facilitating data subject rights.

9. Compliance, Age & Parental Consent

Where required by law (e.g., COPPA in the U.S. for children under 13 and national digital age of consent in the EEA), institutions or parents/guardians must provide or secure valid consent. We rely on the enrolling institution/guardian to ensure lawful basis and to manage requests regarding student data. See Privacy Policy for details. 

10. Third-Party Services & Links

The Services may link to third-party sites or integrate third-party tools. We don’t control and aren’t responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

11. Suspension & Termination

We may suspend or terminate access immediately for violations of these Terms, legal risk, security concerns, or non-payment (for paid plans). You may request account deletion at any time; we’ll process deletion subject to legal/regulatory retention requirements and institutional policies where applicable. 

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT). WE DON’T WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. 

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPSCHOOL AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Indemnification

You agree to defend, indemnify, and hold harmless TopSchool and its affiliates, directors, officers, employees, and agents from any claims, losses, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Services, or your violation of these Terms or applicable law. 

15. Changes to the Services or Terms

We may modify the Services and these Terms from time to time. Material changes will be posted on this page with an updated “Last Updated” date. Your continued use after changes constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules. Venue and jurisdiction will lie exclusively in Singapore, unless otherwise required by law.

18. Definitions

Institution” means a school, district, or organization that provisions or manages user access to the Services. “Student Data” means personal data relating to a student that is processed through the Services under the direction of an Institution.
